This User Agreement (“User Agreement”) governs all use of fromherefilm.com and its affiliated websites (together “fromherefilm.com” or the “Site”). Unless otherwise noted, all of the fromherefilm.com graphics, logos, designs, page headers, button icons, scripts and service names shown on fromherefilm.com are the registered trademarks, trademarks or trade dress of WITH WINGS AND ROOTS Productions, LLC and may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated or used, in whole or in part, without the prior written permission of the Company.

5. User Content

fromherefilm.com partly relies on and may permit its users to contribute content by posting their own original content to fromherefilm.com. You are solely responsible for the messages, notes, text, information, links, video and audio material, and all other content that you upload, publish or display (hereinafter, “Post”) on or through fromherefilm.com, or transmit to or share with other users (collectively the “User Content”). Your name and biographical information, including details about personal experiences, as appearing in User Content, shall be User Content for the purposes of this User Agreement, including all licenses granted herein. You may not post, transmit, or share User Content on fromherefilm.com that you did not create or that you do not have permission to post. You understand and agree that the Company may, but is not obligated to, review fromherefilm.com and may delete or remove, without notice, any User Content in its sole discretion, for any reason or no reason, including User Content that in the sole judgment of WITH WINGS AND ROOTS Productions LLC violates this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of users or others. You are solely responsible at your own cost and expense for creating backup copies and replacing any User Content you post or store on fromherefilm.com.

5.1 When you post User Content to fromherefilm.com, you authorize and direct us to make such copies thereof as we deem necessary in order to facilitate the posting and storage of the User Content on fromherefilm.com. By submitting User Content, you hereby grant us (and our successors and affiliates) a worldwide, non-exclusive, royalty-free, perpetual, irrevocable sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content, including without limitation for promoting and redistributing part or all of the User Content in any media formats and through any media channels now known or hereafter devised. You acknowledge that the Company may retain archived copies of your User Content. 5.2 We do not pre-screen or approve user posts, and cannot guarantee that a user post was actually created by the individual that is the subject of a user post. We are not responsible for the content of any user Post, or any transactions entered into or other actions taken on or in connection with any such Post, including how the owner of the user post collects, handles, uses and/or shares any Personal Information it may collect from users (please review the fromherefilm.com privacy policy if you have any questions or concerns regarding the use or sharing of your personal information). 5. Attempt to gain access to any other user’s accounts

6. Attempt to ascertain any other user’s password and/or personal information by any means whatsoever, including without limitation, by use of fromherefilm.com or any other website, or by e-mail communication

7. Attempt to use fromherefilm.com for any purposes other than those intended by the Company, as determined by the Company in its sole discretion

8. Upload or submit any data or information that contains viruses or any other computer code, corrupt files or programs designed to interrupt, destroy or limit the functionality or disrupt any software, hardware, telecommunications, networks, servers or other equipment

9. Make commercial use of fromherefilm.com, including but not limited to the rental, sale or promotion of products. For example, the rental, sale or promotion of pre-recorded music or accompaniment tracks is prohibited

10. Harvest or collect email addresses or other contact information of other users of fromherefilm.com by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications

11. Upload, post, transmit, share, store or otherwise make publicly available on fromherefilm.com any private information of any third party, including addresses, phone numbers, email addresses, social security numbers and credit card numbers

12. Solicit personal information from anyone under 18

13. If such user is under 18, represent him or herself as 18 or older

14. If such user is 18 or older, represent him or herself as under 18

15. Upload, post, transmit, share, store or otherwise make available content that, in the sole judgment of the Company, is objectionable or which restricts or inhibits any other person from using or enjoying the fromherefilm.com website, or which may expose WITH WINGS AND ROOTS Productions LLC or its users to any harm or liability of any type.

The Company expressly reserves the right, which shall be exercised in its sole discretion, to remove any user from fromherefilm.com and/or freeze the account(s) of any user who contravenes any of the provisions of the User Agreement, including but not limited to the provisions of this section entitled “Using fromherefilm.com”.

7. Security

You are entirely responsible for maintaining the confidentiality of your username and password. Take note that no one at fromherefilm.com or at the Company will ever ask you to disclose your personally identifying information for any reason, other than through the user content upload, login and/or purchase process. You are entirely responsible for all activities that occur under your account. You agree to: (a) immediately notify us of any unauthorized use of your account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We will not be liable for any loss or damage arising from your failure to comply with this section. You may be required to change your password from time to time.

8.Modification

We may, in our sole discretion, modify, add, delete or otherwise change the provisions of this User Agreement from time to time. If you do not agree to the amended User Agreement, you may not continue to use fromherefilm.com. It is your responsibility to regularly check the fromherefilm.com website to determine if there have been changes to this User Agreement. Membership on fromherefilm.com is void where prohibited.

9. Copyright Complaints

A. We respect the intellectual property rights of others and we prohibit users from uploading, posting or otherwise transmitting on fromherefilm.com any materials that violate another party’s intellectual property rights. When we receive proper Notification of Alleged Copyright Infringement as described in our Copyright Policy, we promptly remove or disable access to the allegedly infringing material and terminate the accounts of repeat infringers as described herein in accordance with the Digital Millennium Copyright Act. : If you are a copyright owner or an agent thereof and believe that the User Content on this Site infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”). • What happens next? After we receive your counter-notification, we will forward it to the party who submitted the original claim of copyright infringement. 10. Repeat Infringer Policy

In accordance with the Digital Millennium Copyright Act (DMCA) and other applicable law, the Company has adopted a policy of terminating, in appropriate circumstances and at our sole discretion, members who are deemed to be repeat infringers. The Company may also at its sole discretion limit access to fromherefilm.com and/or terminate the memberships of any users who infringe any intellectual property rights of others, whether or not there is any repeat infringement.

14. Indemnification

You hereby agree to indemnify, defend and hold harmless WITH WINGS AND ROOTS Productions LLC, its affiliated and subsidiary companies, their respective officers, directors, employees, owners, agents, third party providers, licensors and licensees (collectively ‘Indemnified Parties’) harmless from and against any and all liabilities and costs, (including reasonable attorney fees), that arise out of your activities on the Site, such as content you decide to upload that may result in damages to With Wings and Roots Productions LLC. You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right to assume, at our sole expense, the exclusive defense and control of any matter otherwise subject to indemnification by you.

15. Limitation of Liability

This User Agreement contains the entire understanding and supersedes all prior understandings or agreements between us with respect to your use of fromherefilm.com. If any provision of this User Agreement is found to be illegal, void or unenforceable, then that provision shall be deemed severed here from and shall not affect the validity and enforceability of the remaining provisions, which continue in full force and effect.

This Agreement and your use of the Site is governed by, construed and enforced in accordance with the laws of the State of New York, United States of America, without regard to principles of conflict of law. For the purposes of any and all legal or equitable actions, you specifically agree and submit to the exclusive jurisdiction and venue of the State and Federal Courts situated in the State and County of New York and you agree you will not object to such jurisdiction on the grounds of lack of personal jurisdiction, forum non conveniens or otherwise.

Headings are for convenience only and shall not be used to construe the terms of this Agreement. No failure or delay by us in exercising any right hereunder will waive any further exercise of that right. Our rights and remedies hereunder are cumulative and not exclusive.

This Agreement is binding upon and shall inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. We may assign our rights and duties under this Agreement to any party at any time without notice to you. You may not assign this Agreement without our prior written consent.
